2. About Oh Birdie!™

Oh Birdie!™ is a software platform designed to assist Mahjong organizers, instructors, clubs, leagues, tournaments, and event hosts in managing events, registrations, communications, player databases, leagues, tournaments, and related activities.

Oh Birdie!™ acts solely as a technology provider and marketplace platform.

Oh Birdie!™ is not the organizer, host, instructor, promoter, sponsor, or operator of events listed on the platform.

3. User Accounts

To access certain features, you may be required to create an account.

You agree to:

• Provide accurate information
• Maintain current account information
• Protect your login credentials
• Notify Oh Birdie!™ of unauthorized account access

You are responsible for all activity occurring under your account.

4. Organizer Responsibilities

Organizers using Oh Birdie!™ agree to:

• Provide accurate event information
• Comply with all applicable laws and regulations
• Obtain all required permits, licenses, and permissions
• Obtain participant consent for communications
• Manage refunds and cancellations according to their stated policies
• Conduct events in a safe and professional manner

Organizers are solely responsible for the operation and administration of their events.

5. Player and Attendee Responsibilities

Players and attendees agree to:

• Provide accurate registration information
• Follow organizer rules and event policies
• Conduct themselves respectfully
• Comply with venue requirements
• Accept responsibility for their participation in events

6. Payments

Certain Services may require payment.

Payment processing may be provided through third-party payment providers.

Oh Birdie!™ may charge subscription fees, service fees, transaction fees, or other fees as disclosed at the time of purchase.

Unless otherwise stated, all fees are non-refundable.

7. Event Cancellations and Refunds

Each organizer is responsible for establishing and administering their own cancellation and refund policies.

Oh Birdie!™ is not responsible for issuing refunds related to organizer-created events.

Any disputes regarding refunds must be resolved directly between the participant and the organizer.

8. Communications

By creating an account or registering for events, you may receive communications from Oh Birdie!™ and organizers through:

• Email
• SMS/Text Messages
• In-platform notifications

Message frequency varies.

Message and data rates may apply.

Users may opt out of SMS communications by replying STOP.

9. Intellectual Property

All Oh Birdie!™ trademarks, logos, branding, software, content, designs, graphics, and functionality are owned by Oh Birdie!™ or its licensors.

Users may not:

• Copy
• Modify
• Reverse engineer
• Resell
• Reproduce
• Create derivative works

without prior written permission.

10. User Content

Users retain ownership of content they submit to the platform.

By submitting content, you grant Oh Birdie!™ a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute such content solely for operating and improving the Services.

11. Prohibited Conduct

Users may not:

• Violate laws or regulations
• Upload malicious software
• Harass or abuse other users
• Impersonate another person
• Interfere with platform operations
• Use the platform for fraudulent purposes
• Send unauthorized marketing communications

Oh Birdie!™ may suspend or terminate accounts for violations.

12. Assumption of Risk

Participation in Mahjong events, tournaments, leagues, instruction, travel events, retreats, and related activities is voluntary.

Users assume all risks associated with participation.

Oh Birdie!™ does not supervise or control events and is not responsible for injuries, losses, damages, disputes, or incidents occurring during participation.

13. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE.”

Oh Birdie!™ makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Oh Birdie!™ does not guarantee uninterrupted or error-free operation.

14. Limitation of Liability

To the maximum extent permitted by law, Oh Birdie!™ and its officers, directors, employees, contractors, affiliates, and partners shall not be liable for:

• Indirect damages
• Incidental damages
• Consequential damages
• Special damages
• Lost profits
• Lost revenue
• Data loss

arising from the use of the Services.

Oh Birdie!™’s total liability shall not exceed the amount paid by the user to Oh Birdie!™ during the twelve (12) months preceding the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless Oh Birdie!™, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your participation in events
• Your conduct toward other users

16. Termination

Oh Birdie!™ may suspend or terminate access to the Services at any time for violations of these Terms or for any other lawful reason.

Users may discontinue use of the Services at any time.

17. Governing Law

These Terms shall be governed by and construed under the laws of the State of Minnesota, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Hennepin County, Minnesota.

18. Changes to Terms

Oh Birdie!™ may update these Terms periodically.

Continued use of the Services following updates constitutes acceptance of the revised Terms.
